AI Agents in Contract Management: Where It Breaks

Renewal dates live in a spreadsheet nobody opens.

Where it breaks

Not in the steps. In the joins between them:

  • Key terms are never extracted into anything searchable
  • Auto-renewals fire before anyone reviews
  • Obligations are missed because nothing tracks them
  • Finding the current version takes twenty minutes

What that actually costs

Auto-renewal is the visible cost and the smaller one. The larger cost is that nobody can answer questions about what you have agreed to. What is our notice period with this vendor? Do we have a most-favoured-nation clause anywhere? Which contracts have a liability cap below our insurance floor? Each of those takes someone twenty minutes and a search through a shared drive, so in practice nobody asks them — which means the answers only surface during a dispute or a diligence process, at the worst possible moment and at someone else's initiative.

What we would build first

Key-term extraction into something searchable goes first, ahead of renewal alerts. Renewal dates are the obvious build and they are downstream of this one: you cannot alert on a date you have not extracted. Extracting parties, dates, notice periods, caps and auto-renewal terms into a structured record turns a drive full of PDFs into something you can query, and every other contract automation becomes straightforward once it exists. Do this one first even though the alerting is what someone asked you for.

It runs inside DocuSign, Google Drive, Airtable, Slack, Notion — the tools already in use.

How this one goes wrong

Extracted contract terms carry more authority than they have earned. A field in a table that says 'notice period: 60 days' reads as fact, and someone will act on it without opening the underlying document — but contracts amend each other, side letters override main agreements, and the clause the agent read may not be the operative one. The guard is that every extracted term links to the exact document and clause it came from, that amendments are linked to what they amend, and that the record is explicitly labelled as an index rather than as the agreement. Never let the summary become the source of truth.
